These Terms of Service explain the rules for using the NorthLearn School website and participating in our online courses, programs, and live webinars. Please read them carefully.

Changes to these Terms take effect no sooner than 14 days after we post an updated version on this page, unless a change is required by law or for security reasons.

1. Acceptance of Terms ✅

By accessing or using this website, enrolling in a course or program, or registering for a webinar offered by NorthLearn School Ltd. (NorthLearn School), you agree to these Terms of Service. If you do not agree, do not use the website or services.

Minimum age: you must be at least 16 years old to use the website and submit forms. If you are under the age of majority in your province or territory, you represent that a parent or legal guardian has reviewed and accepted these Terms on your behalf for any purchase or enrollment.

2. Description of Services 📚

NorthLearn School provides educational products and services for learners in Canada, including:

  • Online courses (self-paced learning modules).
  • Live webinars (scheduled sessions with Q&A).
  • Programs and intensives (paced learning with assignments and optional feedback).
  • Supplementary educational materials such as templates, checklists, and practice exercises.

Some sessions may include invited specialists. When a guest is involved, we aim to describe the guest role and scope on the relevant course or webinar page. Invited specialists participate as independent contributors and not as employees or representatives for matters outside the session scope.

3. User Obligations 🧾

You agree to use the website and services lawfully and respectfully. In particular, you agree not to:

  • Impersonate any person or misrepresent your affiliation with any entity.
  • Attempt to gain unauthorized access to systems, accounts, or restricted areas.
  • Scrape, crawl, or harvest content or user data using automated tools without written permission.
  • Upload or transmit malware, harmful code, or content that disrupts the website.
  • Use course materials in a way that violates applicable law or third-party rights.

If a service includes discussion areas, live chat, or Q&A, you agree to keep communication professional and not post unlawful, abusive, or discriminatory content.

All website content and learning materials, including text, graphics, videos, slides, templates, assignments, and branding, are owned by or licensed to NorthLearn School Ltd. and are protected by Canadian and international intellectual property laws.

Limited license: when you purchase or access a course or webinar, you receive a limited, non-exclusive, non-transferable license to use the materials for your personal learning only. You may not reproduce, distribute, publicly display, share, resell, sublicense, or create derivative works from the materials without our prior written consent.

If downloadable files are provided, you are responsible for keeping them secure and not sharing access links or copies outside your household or organization (unless a separate business agreement explicitly permits it).

Educational purposes only: our content is provided for learning and informational purposes. It is not professional advice and should not be relied on as a substitute for advice from qualified professionals.

No guarantees: we do not promise or guarantee any specific results, including employment outcomes, income, promotion, certification, or performance improvements. Outcomes depend on many factors, including your effort, time, and prior experience.

Guest participation: invited specialists may contribute to specific sessions. Their participation does not create a relationship of employment, agency, or partnership with NorthLearn School Ltd., and their views are their own.

Website provided “as is”: the website and services are provided on an “as is” and “as available” basis. We do not warrant that content will be error-free, uninterrupted, or suitable for your specific needs.

6. Limitation of Liability 🛡️

To the maximum extent permitted by applicable law, NorthLearn School Ltd. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the website or services.

Cap on direct liability: to the maximum extent permitted by law, our total direct liability for any claim arising out of or relating to the services will not exceed the total amount paid by you to NorthLearn School Ltd. for the specific service giving rise to the claim during the 3 months immediately before the event that first caused the claim.

Some jurisdictions do not allow certain limitations. If these limitations do not apply to you, they will apply to the fullest extent permitted in your province or territory.

7. Indemnification 🤝

You agree to indemnify and hold harmless NorthLearn School Ltd., its directors, officers, employees, and contractors from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to:

Subject to the Dispute Resolution section below, you agree that the courts located in Toronto, Ontario will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the services.

If a dispute cannot be resolved informally within 30 days, either party may bring the matter in the courts of Toronto, Ontario, unless applicable consumer protection laws in your province or territory require a different venue.

12. Termination ⛔

We may suspend or terminate your access to the website or services if we reasonably believe you have violated these Terms, attempted to interfere with security or operations, or misused learning materials (for example, sharing or reselling content without permission).

Termination may occur without notice when necessary to protect our users, our systems, or our rights. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law) will survive.

13. Changes to Terms 🔁

We may update these Terms to reflect changes to services, legal requirements, or security practices. Unless a change is required by law or to address urgent security concerns, updated Terms will take effect at least 14 days after they are posted on this page.

If you continue using the website or services after updated Terms take effect, you agree to the updated Terms.
